Terms and Conditions for Virtual Office Services

1. Regulatory Status

VOffice Services Pte Ltd (“VOffice” or “the Company”) is a corporate service provider regulated by the Accounting and Corporate Regulatory Authority (“ACRA”) under the Corporate Service Providers Act 2024 (“the Act”).

The Act came into effect in Singapore on 9 June 2025 and requires businesses offering services such as company formation, acting as directors or secretaries, or providing registered addresses to be registered with ACRA to enhance compliance, particularly in relation to anti-money laundering and counter-terrorism financing. Compliance with the Act is mandatory.


2. Know-Your-Client (KYC) Requirements

Clients taking up our virtual office services are required to comply with our Know-Your-Client (“KYC”) process within sixty (60) days from the commencement of services. This includes providing copies of required identification and business documents, which may include (where applicable) identity documents of directors, shareholders or authorised persons, ACRA business profile or equivalent, proof of address, and any other information reasonably requested for compliance purposes.

Clients who fail to provide the required information within the stipulated timeframe will be offboarded, and no refund of fees paid shall be made.

** Additional KYC Charges – Our virtual office services include Know-Your-Client (“KYC”) checks for up to five (5) directors, shareholders, or beneficial owners per company. Where KYC is required for more than five (5) such persons, an additional fee of S$10 per additional person shall apply. All additional KYC fees must be paid prior to or together with the completion of the KYC process.


3. Prohibited Use of Virtual Office Services

The following businesses and uses are prohibited from engaging our virtual office services:

  • Businesses registered as travel agencies, tour operators, reservation services, or financial institutions (i.e. entities regulated under laws requiring an actual physical office)

  • Businesses not registered in Singapore

  • Use of the virtual address as a personal or individual mailing address

  • Use of the virtual address as an operating address, place of business, or residential address, including but not limited to registration with the Ministry of Manpower (“MOM”) for work pass, worker housing, or residential-related purposes

4. Use of Virtual Address

For businesses registered with ACRA in Singapore, clients may use our address at 22 Sin Ming Lane #06-76 Midview City, Singapore 573969 as their registered address. This address may be disclosed on business collaterals such as letterheads, invoices, business cards, and official correspondence.

For personal mail (including but not limited to bank statements and utility bills), we reserve the right not to accept such documents and to return them to the sender without prior notification to the client. In such events, we further reserve the right to terminate the services immediately, and no refund of fees paid shall be made.

Each virtual office package is strictly for one (1) business or company only. Transfer of the package to another business or company is not permitted.


5. Mail and Parcel Handling

Our mail services are limited to the receipt of letters and documents only. Parcel acceptance is not part of our standard services and, if accepted, is done solely as a gesture of goodwill and at our discretion. Any accepted parcels must be collected within two (2) working days from notification. Due to limited storage space, we reserve the right to dispose of or refuse further handling of parcels that are not collected within this timeframe, where the client is uncontactable, or where collection is not arranged within a reasonable period. We also reserve the right to decline future parcel acceptance for such clients.

We reserve the right to open any mail received without prior notification to the client where necessary, including situations where the recipient cannot be identified.

Uncollected mail may be returned or disposed of after thirty (30) days from the date of receipt.

For mail redirection services, we shall not be held liable for any loss of mail or parcels. Where mail is improperly addressed or does not clearly indicate recipient or contact details, we shall not be obliged to forward such mail and shall not be held responsible for any delay.


6. Conduct and Disruption

If any client, or any person acting on the client’s behalf (including but not limited to customers, partners, employees, agents, or representatives), visits or contacts our office in a manner that causes disruption, nuisance, intimidation, harassment, safety concerns, reputational risk, or interference with our operations, staff, or other clients, we reserve the right to take appropriate action, including refusing access, requesting immediate cessation of such conduct, or terminating the client’s services with immediate effect. No refund shall be payable in such circumstances.


7. Client Declarations

By using our Virtual Office Services, you agree to the following:

  • You agree to accept and be bound by all clauses set out in these Terms and Conditions

  • You agree to indemnify and hold VOffice harmless from any loss, expenses, costs, damages, or liabilities arising from your use of our virtual office services

  • You confirm that your business activities in Singapore are legitimate and comply with all applicable laws and regulations

  • You confirm that all information provided during onboarding and the KYC process is true, complete, and accurate

  • You agree that VOffice reserves the right to terminate the services in the event of any breach of these Terms and Conditions

  • You agree that VOffice may amend or update these Terms and Conditions, in whole or in part, without prior notice


8. Communications

You agree that VOffice may send you emails relating to changes in Singapore laws, service updates, marketing and promotional materials, as well as third-party offers or discounts made available to VOffice clients. You may opt out of such communications at any time by unsubscribing from our mailing list.
